How the claim works
No advance ruling or licence is needed to be “offshore”. The company prepares accounts, has them audited by a Hong Kong CPA, and files its Profits Tax Return, stating that its assessable profits are nil because they are sourced outside Hong Kong. Many first-time offshore claims get an IRD enquiry: a list of detailed questions about the business model, the people involved, where contracts were signed, where the goods moved, and where services were performed.
Evidence the IRD typically looks for
- Signed sales and purchase contracts, purchase orders and invoices showing parties and places outside Hong Kong.
- Email and messaging records showing negotiations conducted from abroad.
- Passport stamps or travel records of directors and staff.
- Shipping documents showing goods did not pass through Hong Kong (for trading companies).
- Employment or contractor agreements showing where staff work.
- Confirmation that the company has no Hong Kong office, staff, warehouse or agents who conclude contracts in Hong Kong.
Common reasons offshore claims fail
- Directors or staff based in Hong Kong who negotiate or sign contracts locally.
- A Hong Kong office used for business operations, not just as a registered address.
- Goods routed through Hong Kong warehouses, or Hong Kong logistics arranged locally.
- No documentary evidence: the IRD will not accept unsupported statements.
- Inconsistent answers between the questionnaire and the audited accounts.
How we help
We start from the business profile you upload to your client portal. During compliance review we flag structural risks before incorporation and give you a record-keeping checklist matched to your business model. When the first Profits Tax Return is due, we can introduce a Hong Kong CPA who handles offshore claims.
Frequently asked questions
How long does an IRD offshore claim review take?
It varies. A straightforward claim may be accepted with the return. Where the IRD raises enquiries, an exchange of letters can take several months, and complex cases can take longer.
Can the IRD reject an offshore claim years later?
The IRD can generally raise an additional assessment within six years after the end of the year of assessment, and longer in cases of fraud or wilful evasion. Keep evidence for every year.
Is a Hong Kong office fatal to an offshore claim?
Not automatically, but any operations performed in Hong Kong count as Hong Kong-sourced activity. If you need a local presence, the profit-producing activities should still happen elsewhere and be documented.
