What is a Hong Kong offshore company?

There is no special “offshore company” form in Hong Kong law. An offshore company in Hong Kong is a normal private company limited by shares, incorporated with the Companies Registry, that carries on its business outside Hong Kong. That is what makes it different from a classic zero-tax island company: it is a fully transparent company in a respected financial centre with a real legal system, a big banking sector and a wide network of double-tax agreements.

What makes it “offshore” is where the profits come from. Hong Kong uses a territorial tax system: only profits arising in or derived from Hong Kong are subject to Profits Tax. If your customers, suppliers, contract negotiation and actual operations are all outside Hong Kong, the profits are offshore and are not taxed in Hong Kong.

Who uses a Hong Kong offshore company?

  • E-commerce and Amazon/Shopify sellers sourcing from Asia and selling to Europe, North America or Australia.
  • Trading companies buying from manufacturers in mainland China, Vietnam or India and shipping straight to buyers abroad.
  • Consultants, agencies and software companies whose team and clients are outside Hong Kong.
  • Digital nomads and location-independent founders who want one stable, credible company to invoice clients worldwide.
  • Holding and IP structures, where the FSIE rules need careful planning.

How to set up a Hong Kong offshore company — step by step

  1. Choose three company names in order of preference. The English name must end in “Limited”. A Chinese name is optional.
  2. Pay the package fee online. Ours is a single fixed price that includes government incorporation fees and the first-year Business Registration.
  3. Complete KYC online: a passport scan, a short liveness selfie, proof of address and a description of the business. Hong Kong AML law requires this for every director, shareholder and beneficial owner.
  4. We incorporate: we file the incorporation form (NNC1) and Articles of Association with the Companies Registry. The Certificate of Incorporation and Business Registration Certificate are usually issued together.
  5. Company kit and registers: share certificates, the register of members, the register of directors and the Significant Controllers Register are prepared.
  6. Bank account: we introduce you to a bank or a licensed payment institution. See opening a Hong Kong company bank account.

You can track every one of these steps in your private client portal.

Legal requirements of a Hong Kong company

  • At least one director (a natural person aged 18+, any nationality, no residency requirement).
  • At least one shareholder (an individual or a company, any nationality; it can be the same person as the director).
  • A company secretary who is a Hong Kong resident or a Hong Kong company. In practice this is a licensed Trust or Company Service Provider (TCSP).
  • A registered office address in Hong Kong.
  • Annual audited financial statements, an Annual Return and a Profits Tax Return. See annual compliance.

Is a Hong Kong offshore company legal and reputable?

Yes. Hong Kong is not on the EU list of non-cooperative tax jurisdictions. It exchanges financial-account information under the Common Reporting Standard (CRS) and has adopted the OECD minimum standards. A Hong Kong company is a legitimate way to run international business. It is not a way to hide income from your home country, and home-country rules such as CFC legislation can still apply. See guides by country of residence.

Frequently asked questions

Can a foreigner open a company in Hong Kong?

Yes. There are no nationality or residency restrictions. A Hong Kong company can be 100% foreign-owned, with a single foreign director who never visits Hong Kong.

How much does a Hong Kong offshore company cost?

Our complete package costs USD 9,995 one-time. It includes incorporation, government fees, first-year Business Registration, company secretary, registered address, KYC onboarding, a bank introduction and offshore claim guidance. Annual audit and accounting are quoted separately.

Do I pay 0% tax automatically?

No. The company files a Profits Tax Return and claims that its profits are offshore. The Inland Revenue Department can ask questions and request evidence. With proper structuring and documentation, profits genuinely earned outside Hong Kong are not taxed in Hong Kong.

Does a Hong Kong offshore company need an audit?

Yes. Every Hong Kong company must have its financial statements audited by a Hong Kong CPA each year, even if it claims all its profits are offshore.
