How Hong Kong’s territorial tax system works
Territorial basis
Under the Inland Revenue Ordinance, Profits Tax applies only to profits arising in or derived from Hong Kong. Profits earned from operations outside Hong Kong are not taxable in Hong Kong.
Low onshore rates
Hong Kong-sourced profits are taxed at 8.25% on the first HK$2 million and 16.5% thereafter. No VAT/GST, no capital gains tax, no withholding tax on dividends.
The offshore claim
Offshore status is claimed in the annual Profits Tax Return and assessed on the facts: where contracts are negotiated and signed, where customers and suppliers are, and where the work is actually done.
Who typically qualifies
- E-commerce, consulting, software and digital agencies serving clients outside Hong Kong
- Trading companies buying and selling goods that never pass through Hong Kong
- Founders who live and work outside Hong Kong and run the business from there
- Companies with no office, staff or contract negotiation in Hong Kong
What you still need to do
- Keep proper books and have accounts audited by a Hong Kong CPA each year
- File the Profits Tax Return and Annual Return, renew the Business Registration
- Keep evidence of where business is conducted (contracts, emails, invoices, travel)
- Check passive income (dividends, interest, IP) against the FSIE rules if you are part of a group
- Check your own country’s CFC and tax-residency rules
“Zero tax” here means 0% Hong Kong Profits Tax on profits that are genuinely sourced outside Hong Kong. It is not automatic and it does not override tax obligations in the countries where you live or operate.

Frequently asked questions
Is the tax really zero?
Hong Kong only taxes profits that arise in or are derived from Hong Kong. If your company genuinely earns its profits outside Hong Kong — customers, suppliers, contract negotiation and operations all outside Hong Kong — those profits can be treated as offshore and are not subject to Hong Kong Profits Tax. This is not automatic: the company still files a Profits Tax Return each year, claims offshore status, and must be able to support that claim if the Inland Revenue Department asks questions.
What if some of the profit is earned in Hong Kong?
Hong Kong-sourced profits are taxed at 8.25% on the first HK$2 million and 16.5% above that for corporations — still one of the lowest rates in the world. There is no VAT/GST, no withholding tax on dividends and no capital gains tax.
Do I need to visit Hong Kong?
No. Incorporation is done fully online: you upload your documents and complete identity verification through the portal. Some banks may require a video call or an in-person meeting for account opening.
Does the company still need an audit?
Yes. Every Hong Kong company, including one claiming offshore status, must prepare financial statements audited by a Hong Kong CPA each year, file an Annual Return and renew its Business Registration. We set up the compliance calendar for you; ongoing accounting and audit are quoted separately.
What about dividends, interest and IP income from abroad?
Since 2023, Hong Kong’s Foreign-Sourced Income Exemption (FSIE) regime can treat certain passive income (dividends, interest, disposal gains, IP income) received in Hong Kong by companies that are part of a multinational group as taxable, unless economic-substance or other exemption conditions are met. Active trading and service income is not covered by FSIE. Tell us about your structure and we will flag it during compliance review.
Will my home country tax the company?
Possibly. Many countries have controlled-foreign-company (CFC) or management-and-control rules, and banks report accounts under the Common Reporting Standard (CRS). A Hong Kong company is a legitimate, transparent structure — not a way to hide income. We strongly recommend confirming your personal position with a tax adviser in your country of residence.
How long does it take?
Once payment and KYC are complete, incorporation typically takes 5–10 business days. Bank account opening timelines depend on the institution and usually take 2–6 weeks.
